CONSULTATION WITH MEMBERS ON CHANGES TO OUR RULES

All housing associations are required to have a set of Rules which set out the powers of the organisation and the way in which its membership and governance will be managed. The Scottish Federation of Housing Associations has worked with the Scottish Housing Regulator to publish Charitable Model Rules which are periodically updated.

Atrium Homes, as a company limited by guarantee, has Articles of Association (“Articles”) as its Rules, in accordance with the Companies Act 2006. While the layout is slightly different from that of the Model Rules above, Atrium has embraced the spirit of the Model Rules and adopted the key requirements from that document. The last time that Atrium Homes’s Articles were reviewed and amended was in 2015.

We have undertaken a review of the Articles to ensure that they represent current industry best practice, as well as adding in provisions which will ensure that we are able to access all forms of finance available to social landlords in the future. This will ensure that we are able to consider all forms of finance offered to us and choose the product which delivers the best value for money to the organisation.

The document containing the draft amended Articles showing the changes proposed is available on our website at this link and we have included with the letter to Members a note of the changes and the reasons why we are making them.

We require approval from our Members to change our Articles and so we are calling a Special General Meeting on 6 November 2025 at 5:00 p.m. at Atrium’s offices (14 Central Avenue, Kilmarnock, KA1 4PS).
